Terms and Conditions for Wisp's Performance-Based Digital Marketing Offer

  1. Offer Overview
    If Wisp does not achieve the agreed-upon increase in leads or conversions for your business within three months of campaign commencement, Wisp will continue providing its services at no additional cost until the performance target is met.
  2. Scope of “Working for Free”
    a. Management Fee Waiver: The “working for free” commitment refers specifically to Wisp waiving its digital marketing management fee until the agreed performance target is achieved.
    b. Client Responsibilities: The client remains responsible for all third-party costs, including but not limited to media spend, platform fees, and associated advertising costs.
    c. Invoicing: Management fees will be waived during the extension period, but the client will continue to be invoiced for media spend and other third-party costs as usual.
  3. Performance Metrics
    a. Definition of Target: Wisp and the client will agree to specific targets for leads or conversions before the commencement of the campaign. These targets will be based on the client’s business goals and the marketing strategy developed by Wisp.
    b. Measurement Criteria: Conversions and leads are tracked based on data from mutually agreed upon analytics platforms. The achievement of the target will be measured using industry-standard conversion tracking methods.
  4. Client Responsibilities for Success
    a. Cooperation: The client must provide timely access to necessary information, including but not limited to website credentials, CRM data, historical marketing data, and timely approvals.
    b. Landing Page/Website Quality: The client must ensure that their website or landing pages meet basic quality and performance standards, including functionality, speed, and compliance with SEO best practices. Wisp may recommend adjustments to improve outcomes.
  5. Media Spend Budget
    The client agrees to allocate a media spend budget as proposed by Wisp and remain consistent with this allocation for the duration of the campaign. A reduction in the agreed media spend will void the “working for free” guarantee.
  6. Campaign Timeline
    a. Initial Three-Month Campaign: The initial period for evaluating performance against the agreed target is three months, starting from the date of campaign activation.
    b. Extended Working Period: If the performance target is not met, Wisp will continue working at no management cost until the target is achieved, for a maximum of three additional months.
  7. Excluded Factors
    The offer does not apply under the following conditions:
    a. Significant Changes to Business: Any significant changes to the client’s business operations, website, or sales processes that impact marketing performance.
    b. External Disruptions: External factors beyond Wisp’s control, such as major economic downturns, legal restrictions, or significant changes to advertising platforms.
  8. Termination and Opt-Out
    a. Client Termination: The client may terminate the contract at any time, but the “working for free” guarantee will be void.
    b. Wisp Termination: Wisp reserves the right to terminate the contract if the client fails to meet their obligations or if third-party platform changes make it impossible to fulfill the guarantee.
  9. General Liability
    Wisp’s liability is limited to the waiver of its management fee. Wisp will not be liable for any indirect, incidental, or consequential damages resulting from campaign performance.
